These Terms of Service ("Terms") govern access to and use of the C-OBRA software platform and related services (the "Platform") operated by C-OBRA, Inc. ("C-OBRA," "Company," "we," "our," or "us").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

1. Platform Purpose

Users may upload documents, photos, communications, project files, and other materials ("User Content").

Users retain ownership of their User Content.

By uploading content to the Platform, users grant C-OBRA a worldwide, non-exclusive, royalty-free license to host, store, process, display, and transmit such content solely for purposes of operating and improving the Platform.

Users represent that they have the necessary rights to upload and share such content.

C-OBRA is not responsible for the accuracy or legality of User Content.

6. Project Communications and Records

The Platform may record project activity logs, communications, document uploads, and user actions.

These records are provided for convenience only.

C-OBRA does not guarantee the completeness, accuracy, reliability, or legal admissibility of such records.

Users remain responsible for maintaining their own project documentation and records.

7. Payments and Financial Requests

The Platform may allow users to submit invoices, payment requests, proposals, change orders, and financial requests.

C-OBRA is not a financial institution or payment processor and does not guarantee payment of any request submitted through the Platform.

All payment obligations exist solely between the relevant project participants.

C-OBRA is not responsible for payment disputes or enforcement of contractual obligations.

8. Prohibited Use

Users agree not to:

  • Upload unlawful, fraudulent, or misleading information
  • Violate applicable laws or licensing requirements
  • Interfere with the security or operation of the Platform
  • Attempt to reverse engineer the software
  • Use the Platform to misrepresent services or defraud others

C-OBRA may suspend or terminate accounts that violate these rules.

9. Intellectual Property

All rights in the Platform, including software, design, workflows, databases, algorithms, branding, and content are owned by C-OBRA or its licensors.

Users receive a limited, non-exclusive, non-transferable license to access and use the Platform for internal project coordination purposes.

Users may not copy, distribute, resell, sublicense, or reverse engineer the Platform without written permission.

10. Platform Availability

C-OBRA strives to maintain reliable service but does not guarantee uninterrupted availability.

The Platform may experience downtime due to maintenance, updates, technical failures, or external service interruptions.

C-OBRA is not liable for losses resulting from service interruptions.

11. Data Security

C-OBRA implements commercially reasonable measures to protect platform data.

However, no digital system can guarantee absolute security.

Users acknowledge that information uploaded to the Platform is done at their own risk and should maintain independent backups of important documents.

12. Third-Party Services

The Platform may integrate with third-party services such as payment processors, storage providers, communication tools, and external software integrations.

C-OBRA is not responsible for the actions or policies of third-party providers.

Use of such services may be governed by separate terms.

13. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

C-OBRA DISCLAIMS ALL WARRANTIES, INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Reliability of project data
  • Accuracy of schedules
  • Construction outcomes

C-OBRA does not guarantee project success or performance of any project participant.

In no event shall C-OBRA's total liability exceed the amount paid by the user for Platform access during the 12 months preceding the claim.

15. Indemnification

Users agree to defend, indemnify, and hold harmless C-OBRA from any claims, damages, liabilities, or legal expenses arising from:

  • Construction projects managed using the Platform

Upon termination, access to project data may be limited.

17. Modifications to Terms

C-OBRA may update these Terms periodically.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

18. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles.

Any disputes shall be resolved in courts located within California unless otherwise required by arbitration provisions.

20. Construction Liability Shield

C-OBRA provides a digital platform for project coordination and documentation only. The Company does not participate in or supervise construction work.

All construction activities — including planning, supervision, safety compliance, permitting, code compliance, materials selection, scheduling, and subcontractor management — remain the sole responsibility of the relevant project participants.

C-OBRA shall not be deemed a contractor, subcontractor, architect, engineer, construction manager, employer, or safety supervisor.

Use of the Platform does not create any partnership, agency relationship, joint venture, or fiduciary duty.

C-OBRA shall not be liable for any construction-related outcomes, including construction defects, project delays, cost overruns, safety incidents, injuries, property damage, code violations, or disputes between project participants.

21. Arbitration and Dispute Resolution

Any dispute arising out of or relating to the use of the Platform shall be resolved through binding arbitration rather than court litigation.

Arbitration shall be conducted under the rules of the American Arbitration Association (AAA).

The arbitration shall occur in the State of California, be conducted by a single arbitrator, and be conducted in English.

Users waive the right to participate in class actions or class arbitration.

C-OBRA may seek injunctive relief in court to protect intellectual property or enforce these Terms.

22. Data Ownership and Project Records

Users retain ownership of all project data uploaded to the Platform ("Project Data").

By using the Platform, users grant C-OBRA a limited license to store, process, display, and transmit such data solely for purposes of operating the Platform.

Users acknowledge that C-OBRA is not responsible for maintaining legally required project records. Users remain responsible for retaining their own project documentation.

C-OBRA may use aggregated and anonymized data derived from platform usage to improve the software and analyze industry trends. Such data will not identify individual users or projects.

Upon account termination, C-OBRA may retain data for a reasonable period for backup, compliance, or operational purposes before deletion.
